Oil Rag, LLC ("Oil Rag") publishes this Acceptable Use Policy. It states prohibited conduct under the Enterprise Master Subscription Agreement. Capitalized terms mean what that agreement says.
Who this policy binds
This policy binds the Customer and each User the Customer permits, including a contractor a Customer Admin provisions. A User is not a party. A person with no Company is outside the agreement. The Admin company is not a Customer.
The Customer accepts this policy when the Customer accepts the Enterprise Master Subscription Agreement at Start collection. There is one acceptance. There is no second click.
The Customer will not do the prohibited things in this policy. The Customer will not let a User do them.
A breach is a prohibited act, a refusal to grant Break-glass, or a failure to stop that conduct after Oil Rag gives notice.
Prohibited conduct
A shared User is prohibited conduct. A shared User is more than one person on one User. The Customer will not let a person who is not a User use the service. The Customer will not resell the service, offer it under another name, or run it as a bot.
The Customer will not give a sign-in to anyone who is not a User of that Company. The Customer will not give a live download link to anyone who is not a User of that Company. The Customer may send a copy of its own Document outside the service. The Customer may share Output it owns.
The Customer will not upload material the Customer has no right to store. The Customer will not upload unlawful material, including sexual exploitation of a child. The Customer will not upload malware.
The Customer will not try to break Company isolation, Seats, Billing hold, or Break-glass. The Customer will not interfere with the integrity or availability of the service. The Customer will not use the service or Output to attack a third party, phish, or develop malware. Ordinary use of the service remains allowed. That use includes answers that look beyond the Company's Documents.
The Customer will not train a model on Output. The Customer may train a model on its own Documents. The Customer will not present Output as a person's own work. That rule covers a report, a filing, or a message a reader would take as a person's analysis when the model origin is left out. An internal Conversation needs no label.
The Customer will not use Output as the sole basis for a decision that could cause death, serious bodily injury, or significant property or environmental damage. A User of the Customer may use the service to inform that decision.
The duty to evaluate Output stays in the Enterprise Master Subscription Agreement, including that agreement's written notice and 30 days. A missed evaluation, with no prohibited use, is not a breach of this policy.
When Oil Rag asks
When Oil Rag has a reasonable belief a User has broken this policy, a Customer Admin grants Break-glass. The Customer Admin grants it again when Oil Rag asks. After Oil Rag gives notice, the Customer stops the conduct.
A refusal to grant Break-glass is a breach. A failure to stop the conduct after notice is a breach.
When the Customer knows a User has broken this policy, the Customer tells Oil Rag at legal@oilrag.ai. A failure to send that notice, with no other breach, is not a breach and does not by itself start Billing hold.
Oil Rag has no standing right to read the Company's product data without Break-glass a Customer Admin grants.
Billing hold
Oil Rag may put the whole Company on Billing hold immediately. The Enterprise Master Subscription Agreement states what that hold does.
Later versions
A later version posted on this page applies at the next renewal. The effective date on this page is that version. A Customer Admin may cancel at period end before that renewal.
Other documents
This policy controls prohibited conduct. Personal-data processing, availability credits, privacy disclosures, provider names, and seat quantity, cadence, and price stay where the Enterprise Master Subscription Agreement assigns them.
